Official Rules

NO PURCHASE OR PAYMENT OF ANY KIND NECESSARY TO ENTER FOR A CHANCE TO WIN. A PURCHASE OR PAYMENT OF ANY KIND WILL NOT INCREASE YOUR CHANCES OF WINNING. THE SWEEPSTAKES IS INTENDED FOR VIEWING IN THE UNITED STATES AND DISTRICT OF COLUMBIA (EXCEPT FLORIDA AND NEW YORK) ONLY AND WILL BE GOVERNED BY UNITED STATES LAW. VOID WHERE PROHIBITED.

1. Eligibility:

The Sposie Baby Shower Contest is open to legal residents of the United States. Entrants must be 18 years of age or older as of their date of entry in this promotion in order to qualify. This contest is subject to federal, state, and local laws and regulations and void where prohibited by law. Sposie's employees, its subsidiaries, affiliates, suppliers, partners, advertising and promotion agencies, and directors (collectively the “Employees”), as well as members of an Employees' immediate family and/or those living in the same household of Employees are ineligible to participate in Sposie Baby Shower Contest.

2. Contest Entry Period:

This promotion begins on May 1, 2020 at 10:00 a.m. EST. and ends on May 8, 2020 11:59 p.m. EST (“Entry Period”). To be eligible for the Contest, entries must be received within the specified Entry Period.

3. How to Enter:

Follow all brand participants on Facebook and/or Instagram AND attend the Sposie Baby Shower Facebook and Instagram Live event on May 9, 2020 at 2:00 p.m. EST.

For all Entries:

As a participant, your entry must fully meet all Contest requirements, as specified in the Official Rules, in order to be eligible to win a prize. Incomplete entries or those that do not adhere to the Official Rules or specifications will be disqualified at the Sponsor's sole discretion.

Fraudulent methods of entry or circumvention of the rules may result in the Sponsor invalidating your entries and removing them from the Contest at the Sponsor’s sole discretion.

4. Prize Detail:

Tier 1: One (1) winner will receive one (1) $550 pre-paid debit card that the winner can use to purchase diapers for one (1) year, one (1) year supply (12 bags) of Sposie Diaper Booster Pads , one (1) year supply Jackson Reese wipes. Approximate Retail Value (“ARV”) is $700.

Tier 2: One (1) winner will receive one (1) Spectra S1 Breast Pump, one (1) carrying bag, one (1) pair of maternity compression stockings, one (1) postpartum recovery garment, pump parts and milk storage bags provided by 1 Natural Way. Approximate Retail Value (“ARV”) is $450

Tier 3: One (1) winner will receive one (1) Ubbi diaper pail, one (1) wipes dispenser, one (1) diaper caddy, one (1) on-the-go bundle, one (1) pack of diaper sacks. Approximate Retail Value ("ARV") $200.

Tier 4: Five (5) total winners

One (1) winner will receive one (1) I've Arrived Organics gender neutral gift basket. Approximate Retail Value ("ARV") $115.
One (1) winner will receive one (1) Baby Blossom Co. bouquet. Approximate Retail Value ("ARV") $115.
One (1) winner will receive one (1) A Great Baby bundle. Approximate Retail Value ("ARV") $115.
One (1) winner will receive one (1) Crescent Womb Infant Safety Bed. Approximate Retail Value ("ARV") $100.
One (1) winner will receive one (1) Candles and Confetti $50 store credit and one (1) Brelokq $40 store credit. Approximate Retail Value ("ARV") $90.

For all prizes:

Total ARV of all prizes is up to $2,000. Any difference between actual value and stated value will not be awarded.

Prizes are non-transferable and no cash equivalent or substitution of prize is offered, except at the sole discretion of Sponsor. If prize, or any portion thereof, cannot be awarded for any reason, Sponsor reserves the right to substitute prize with another prize of equal or greater value. Prize winner will be solely responsible for all federal, state and/or local taxes, and for any other fees or costs associated with the prizes they receive, regardless of whether it, in whole or in part, is used. By accepting the prize, the selected Winner grants permission for the Sponsor to use the Winner’s likeness, entry, and name for purposes of advertising and trade without further compensation unless prohibited by law.

If Sponsor so elects, potential winner may be required to submit to a confidential background check. Such background check may include (but is not limited to) investigation of criminal, sexual offenses, or other arrest or conviction record, and any other factor deemed relevant by the Sponsor to help ensure that the potential winner will not bring Sponsor into public disrepute, contempt, scandal or ridicule or reflect unfavorably on the Sponsor. If requested, the potential winner agrees to sign waiver forms authorizing the release of personal and background information. In the event of noncompliance, to be determined at the sole discretion of Sponsor, prize will be forfeited and will be awarded to an alternate winner.

5. Contest Drawing:

Winners of the Sposie Baby Shower Contest will be announced during the Sposie Baby Shower Facebook and Instagram Live event on May 2, 2020 starting at 2:00 p.m. EST from among all eligible entries received by Sponsor, whose decisions are final in all matters relating to this Contest. Potential Winner(s) will be selected from each “Tier” of eligible Entries as defined below. Odds of winning depend on the number of eligible Entries received per Group. Limit one (1) prize per person.

Tier 1, 2, and 3: One (1) potential winner for each Tier will be selected from among all eligible Entries received from entrants who entered on Facebook and/or Instagram.

Tier 4: Four (4) potential winners will be selected from among all eligible Entries received from entrants who entered on Facebook, Instagram as follows:

6. Selection and Notification of Winner

Potential winners will be notified during the Sposie Baby Shower Facebook and Instragram Live event and will be required to direct message us on facebook and/or Instragram within 48 hours indicating whether he/she can accept the prize. If a potential winner does not respond to the notification within the 48 hour time period, prize will be forfeited and an alternate potential winner will be chosen. Any alternate potential winner selected will also be required to respond to the notification within the time frame stated above.

The Sponsor is not responsible for nor shall have no liability for Winner’s failure to receive notices due a failure to attend the live event. The Sponsor is not responsible for suspended or discontinued Internet, wireless, or land-line phone service or a change in an entrant’s email, phone number or mailing address which may result in a winner not receiving initial prize notification or his/her prize information. If the Winner 1) fails to claim the prize within five (5) minutes from the time the award is announced, 2) is found ineligible, or 3) does not complete and return an executed declaration and release within the specified timeframe, the prize may be forfeited and an alternate Winner may be selected. Receipt of the prize (offered in the Sposie Baby Shower Contest) by the Winner is upon the condition of compliance with any and all federal, state, and local laws and regulations. IF THE WINNER VIOLATES ANY OF THESE OFFICIAL RULES, THE WINNER (AT THE SPONSOR’S SOLE DISCRETION) WILL BE DISQUALIFIED, AND ALL PRIVILEGES AS WINNER WILL BE IMMEDIATELY TERMINATED.

7. Rights Granted by You:

By submitting an entry (e.g., text, video, photo, etc.) into this Contest, You understand and agree that the Sponsor, any individual acting on the Sponsor’s behalf, and the licensees successors, and assigns of the Sponsor shall, where permitted by law, have the right to print, publish, broadcast, distribute and use in any media known now or hereafter developed, in perpetuity, worldwide, and without limitation, your submission, name, photo, portrait, voice, likeness, image, statements about the Sposie Baby Shower Contest, and your biographical information for news, publicity, advertising, promotional purposes, trade, information, and public relations without any further notice, review, consent, compensation, or remuneration. Entries must be original work and not violate anyone’s proprietary or intellectual property rights. You shall defend or settle against such claims at your sole expense, and You shall indemnify, defend and hold harmless the Sponsor from any suit, etc.)

8. Terms & Conditions:

In its sole discretion, the Sponsor reserves the right to modify, suspend, cancel, or terminate the Sposie Baby Shower Contest should non-authorized human intervention, a bug or virus, fraud, or other causes beyond the Sponsor’s control, impact or corrupt the security, fairness, proper conduct, or administration of the Sposie Baby Shower Contest. The Sponsor, in the event of any of the above issues, may determine the Winner based on all eligible entries received prior to and/or after (if appropriate) the action taken by the Sponsor. Individuals who tamper with or attempt to tamper with the operation or entry process of the Contest or website or violates these Terms & Conditions will be disqualified by the Sponsor in its sole discretion. In its sole discretion, the Sponsor has the right to maintain the integrity of the Sposie Baby Shower Contest, to void votes for any reason, including, but not limited to: [identify any disallowed entry methods that will result in votes/entries being voided; examples: multiple entries from the same user; multiple entries from the same computer beyond the number allowed by the Sposie Baby Shower Contest rules; or the use of bots, macros, scripts, or other technical means for entering.] Attempts by any entrant to deliberately damage any website or undermine the legitimate operation of the Sposie Baby Shower Contest may be a violation of criminal and civil laws. 9. Limitation of Liability:

Your entry into this Contest constitutes Your agreement to release and hold harmless the Sponsor and its subsidiaries, representatives, affiliates, partners, advertising and promotion agencies, successors, agents, assigns, directors, employees, and officers against and from any and all claims, liability, illness, injury, death, litigation, loss, or damages that may occur, directly or indirectly from participation in the Contest and/or the 1) Winner accepting, possessing, using, or misusing of any awarded prize or any portion thereof; 2) any type of technical failure; 3) the unavailability or inaccessibility of any transmissions, phone, or Internet service; 4) unauthorized intervention in any part of the entry process or the Promotion; 5) electronic error or human error in the Promotion administration or the processing of entries.

10. Agreement to Rules:

By entering this Contest, the Entrant (“You”) agrees to abide by the Sponsor's Official Rules and decisions, which are fully and unconditionally binding in all respects. The Sponsor reserve the right to refuse, withdraw, or disqualify any entry at any time at the Sponsor’s sole discretion. By entering this Contest the You represents and warrants that You are eligible to participate based on eligibility requirements explained in the Official Rules. You also agree to accept the decisions of the Sponsor as final and binding as it relates to the content of this Sposie Baby Shower Contest.

11. Disputes:

THIs IS GOVERNED BY THE LAWS OF UNITED STATES OF AMERICA AND OHIO, WITHOUT RESPECT TO CONFLICT OF LAW DOCTRINES. The Entrant agrees, as a condition of participating in this promotion, that if any disputes cannot be resolved between the Entrant and the Sponsor, and if causes of action arise out of or are connected with this Contest, they shall be individually resolved exclusively before a court located in Ohio having jurisdiction, without resorting to any form of class action. Under no circumstances in any such dispute shall the participant be permitted to obtain awards for, and hereby waives all rights to, punitive, incidental, or consequential damages, including reasonable attorney’s fees, other than participant’s actual out-of-pocket expenses (i.e. costs associated with entering this Contest). The participant waives all rights to have damages multiplied or increased.

13. Sponsor:

The sponsor is Sposie (“Sponsor”), located at 4064 Technology Drive, Maumee, Ohio 43537. Sponsor will conduct the Contest substantially as described in these Official Rules.

14.Winners List:

You may obtain a copy of the Winner’s name(s) or a copy of these Official Rules, by sending your request via mail with a stamped, self-addressed envelope to: Sposie, LLC 4064 Technology Drive, Maumee, Ohio 43537. Requests must be postmarked no later than Augsut 1, 2020.
